Terms of Service

The short version: Quali gives you estimates and rule-based classifications to help you research film/TV production tax incentives. It is not tax, legal, or accounting advice. Always confirm any figure with a qualified CPA or tax attorney before relying on it for a real filing.

1. Agreement to Terms

By accessing or using Quali (the "Service"), available at qualiincentive.com and any associated application, you agree to be bound by these Terms of Service. If you don't agree, don't use the Service. Quali is currently operated by an individual sole proprietor ("we," "us," "our").

2. What Quali Is

Quali classifies general ledger, payroll, and budget data against publicly available film and TV production tax incentive rules for various U.S. state and international jurisdictions, and generates estimates, reports, and supporting documentation based on that classification.

3. Not Professional Advice

Quali is a research and planning tool. It is not tax, legal, accounting, or financial advice, and using it does not create any professional relationship between you and us. Tax incentive rules change frequently, vary by jurisdiction, and often depend on facts Quali cannot fully evaluate from a budget or GL import alone (such as individual residency status, corporate structure, or timing of applications). Every estimate, classification, and rate shown in Quali should be independently verified with a qualified CPA, tax attorney, or the relevant government agency before you rely on it for an actual filing, financing decision, or legal position.

4. Eligibility

Quali is intended for business and professional use by individuals 18 or older, such as production accountants, producers, UPMs, and their advisors. By using the Service you represent that you meet this requirement.

5. Your Data

Data you enter into Quali — production budgets, GL exports, payroll data, and project details — is stored locally in your own browser (via IndexedDB, with local storage as a fallback). We do not operate a server that receives, stores, or has access to this data. You are solely responsible for backing up your own data; clearing your browser storage will delete it permanently, and we have no way to recover it.

6. Optional AI Features

Quali includes optional AI-assisted features. If you choose to enable them using your own API key, the specific data you submit through that feature is sent directly from your browser to the applicable AI provider (currently Anthropic), governed by that provider's own terms and privacy policy. We do not receive, see, or store that data. Use of AI features is entirely optional and off by default.

7. Beta / Pilot Program

Quali is currently offered as a free pilot to early users. Features, pricing, availability, and jurisdiction coverage may change at any time without notice. We do not guarantee continued free access, uptime, or that any specific feature will remain available.

8. Intellectual Property

Quali, including its software, rules engine, research, design, and branding, is owned by us and protected by copyright and other intellectual property laws. These Terms do not grant you any ownership interest in the Service. You may not copy, reverse-engineer, resell, sublicense, or redistribute the Service without our prior written permission. You retain all rights to the production data you input.

9. Acceptable Use

You agree not to: use the Service for any unlawful purpose; attempt to disrupt, overload, or gain unauthorized access to the Service; scrape, copy, or systematically extract the underlying rules content; or misrepresent Quali's output as official government guidance.

10. No Warranty

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including accuracy, completeness, or fitness for a particular purpose. Incentive program rules change; we make reasonable efforts to keep classifications current but do not guarantee that any rate, cap, or rule shown reflects the most current version of a program.

11. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, tax credits, or data, arising from your use of or reliance on the Service, including reliance on any estimate or classification it produces.

12. Termination

We may suspend or discontinue the Service, or your access to it, at any time, particularly during this beta period, without liability.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles.
